Terms of Service

Effective date: April 10, 2026

These Terms of Service (“Terms”) are a binding agreement between DataLug Inc., a corporation based in Ottawa, Ontario, Canada (“DataLug”, “we”, “us”), and the business or organization that accepts them (“Customer”, “you”). They govern your use of the DataLug platform, the datalug.io website and related services (the “Services”).

By creating an account, starting a trial, subscribing or using the Services, you accept these Terms. If you accept on behalf of an organization, you confirm that you have authority to bind it.

1. Business use only

The Services are offered only to businesses and other organizations, for business purposes. You may not use them as a consumer for personal, family or household purposes. You must be at least 18 and able to form a binding contract.

The Services are not currently offered to customers located in Quebec.

2. The Services

DataLug is an integration platform for designing, testing, deploying and monitoring data workflows that connect applications, databases, file stores and APIs. Features vary by plan as described on the Pricing page. We may change, add or remove features. If we remove a feature that is material to a paid plan you are using, we will give you at least 30 days’ notice, and you may cancel and receive a pro-rata refund of prepaid fees for the unused period.

Some features may be labelled preview or beta. They are provided as is, may change or be withdrawn, and are excluded from any commitment in these Terms.

3. Accounts and security

You are responsible for:

  • the accuracy of your account information;
  • everyone you invite to your account, and their compliance with these Terms;
  • keeping sign-in credentials confidential, and telling us promptly at inquiry@datalug.io of any unauthorized access; and
  • all activity under your account.

4. Free trial

  • The trial lasts 30 days, includes the full feature set and requires no payment card.
  • One trial is available per email address. We may extend or end a trial at our discretion.
  • Trials run on a shared runtime with usage limits. Do not use a trial for production workloads or for personal information you are not prepared to have deleted.
  • At the end of the trial your account is locked: scheduled workflows stop and no new runs start. If you subscribe within 30 days, your account is unlocked as it was. After that we delete the account’s workflows and data.

5. Plans, fees and payment

  • Prices. Prices are in US dollars and are listed on the Pricing page: Professional at $99 per month or $828 per year, and Teams at $249 per month or $2,088 per year.
  • Payment. Paid plans are billed in advance by payment card through Stripe. You authorize us and Stripe to charge your card for each billing period until you cancel.
  • Taxes. Prices exclude taxes. Applicable sales taxes are calculated at checkout and added to your invoice.
  • Automatic renewal. Subscriptions renew automatically for the same billing period unless you cancel before the renewal date.
  • Upgrades. You may upgrade from Professional to Teams at any time. Upgrades are prorated for the rest of the current period. To protect your data, we pause your scheduled workflows and cancel runs in progress while we move your account to its new runtime; you re-enable schedules when the upgrade completes.
  • Downgrades. Moving to a smaller plan is not supported. You may cancel and subscribe to another plan after the current period ends.
  • Discount codes. Codes apply only to monthly plans, cannot be combined, have no cash value and may expire or be withdrawn.
  • Price changes. We may change prices for future billing periods on at least 30 days’ notice by email. The change takes effect at your next renewal after the notice period. If you do not agree, cancel before then.
  • Non-payment. If a payment fails, we will notify you. If it is not resolved within 7 days, we may suspend the Services until it is.
  • Refunds. Except where these Terms say otherwise or the law requires, fees are non-refundable, including for partial periods and unused features.

6. Cancellation and your data

  • You may cancel at any time from your account settings. Cancellation takes effect at the end of the current paid period, and the Services continue until then.
  • Export your data before the period ends. You can export your workflow designs, run history and run logs from the platform.
  • When the paid period ends, we stop your runtime and delete Customer Data, including connections and stored credentials, run history and logs, within 30 days. We keep only the billing and tax records the law requires.
  • Deleted data cannot be recovered.

7. Acceptable use

You will not, and will not allow anyone else to:

  • use the Services to break any law or infringe anyone’s rights;
  • connect a system, or move data, that you are not authorized to access or process;
  • send through the Services any content that is malicious, or that you know to be unlawfully obtained;
  • try to access another customer’s account, data or runtime, or probe, scan or test the security of the Services without our written permission;
  • interfere with the Services or place an unreasonable load on them, including by circumventing usage limits;
  • copy, resell or sublicense the Services, or reverse engineer them except as the law permits; or
  • use the Services to build a competing product.

8. Restricted data

Unless we agree in writing, you will not use the Services to process:

  • personal health information regulated by health-privacy law;
  • full payment card numbers or other data covered by the Payment Card Industry Data Security Standard;
  • government identification numbers, such as Social Insurance Numbers, passports or driver’s licences; or
  • personal information of children under 18.

The Services are not designed or certified for this data, and you are responsible for any use of it contrary to this section.

9. Your connections and workflows

  • You choose which systems to connect, which credentials to provide and what each workflow does. You authorize us to store your connection credentials in encrypted form and use them to run your workflows.
  • Use credentials with the least access a workflow needs.
  • Workflows act on your systems. Workflows you design or approve can create, change and delete data in connected systems. Test workflows before you deploy them and keep backups of systems you connect. We are not responsible for the results of a workflow that runs as configured.
  • Connected third-party services are governed by your agreements with their providers. Their APIs and terms can change, and we cannot guarantee that any connector will remain available or work without interruption.

10. Customer Data and data protection

  • Ownership. You own your Customer Data. You give us a limited licence to host, copy, process and transmit it only to provide, secure and support the Services and as the law requires.
  • Your responsibilities. You are responsible for the lawfulness of Customer Data and for giving any notices and obtaining any consents needed for us to process it.
  • Our commitments. For personal information in Customer Data, we act on your behalf. We will:
    • process it only to provide the Services and on your documented instructions;
    • keep it confidential and limit access to personnel who need it;
    • protect it with reasonable administrative, technical and physical safeguards;
    • use only the service providers listed in our Privacy Policy, under written terms that protect it at least as well, and give notice before adding a new one;
    • notify you without undue delay after becoming aware of a breach of our safeguards affecting it, and help you meet your notification obligations; and
    • delete it when your subscription ends, as described in section 6.
  • Processing location. Paid account runtimes run in Canada (Toronto). Some service providers, including Anthropic for Milo, process data in the United States.

11. Milo and AI output

Milo uses a third-party AI model to draft and explain workflows. AI output can be incomplete or wrong. Milo only proposes changes; you decide whether to apply them. You are responsible for reviewing any draft before you save, test or deploy it, and for the results once you do. Milo usage may be limited by plan.

12. Our intellectual property

We own the Services, including the software, design, documentation and our trademarks. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription for your internal business purposes. We reserve all other rights. If you give us feedback, we may use it without obligation to you.

13. Confidentiality

Each party will protect the other’s non-public business and technical information with reasonable care, use it only to perform under these Terms and disclose it only to people who need it and are bound to keep it confidential, or where the law requires. This does not apply to information that is public, already known to the recipient, independently developed or lawfully received from someone else.

14. Availability and support

We aim to keep the Services available, but we do not promise uninterrupted or error-free operation, and these Terms include no service-level commitment. We may carry out maintenance, and we will try to give notice of planned work that interrupts service. Support is by email at the level described for your plan.

15. Suspension

We may suspend all or part of the Services immediately if we reasonably believe that your use breaks sections 7 or 8, threatens the security or stability of the Services or other customers, or must be stopped by law. We will tell you why and restore access once the issue is resolved. We may also suspend for non-payment under section 5.

16. Warranties and disclaimers

Each party confirms it has the authority to enter into these Terms. Except as stated in these Terms, the Services are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all other warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.

17. Limitation of liability

  • Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data, even if advised they were possible.
  • Each party’s total liability arising out of or relating to these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim, or US$100 if greater.
  • These limits do not apply to your payment obligations, your obligations under section 18, or liability that cannot be limited by law.

18. Indemnity

You will defend and indemnify DataLug, its directors, officers and employees against third-party claims, and related losses, damages and reasonable legal fees, arising from your Customer Data, the systems you connect, workflows you configure or approve, or your breach of sections 7 or 8. We will give you prompt notice of the claim, reasonable cooperation at your expense, and control of its defence, provided you do not settle it in a way that imposes obligations on us without our consent.

19. Term and termination

These Terms apply from when you accept them until your account is closed. You may close your account by cancelling under section 6. We may terminate your account on 30 days’ notice for any reason, with a pro-rata refund of prepaid fees for the unused period, or immediately if you materially breach these Terms and do not cure the breach within 15 days of notice. Sections 5 (unpaid fees), 6, 10, 12, 13 and 16 to 23 survive termination.

20. Changes to these Terms

We may update these Terms. For material changes, we will notify you by email or in the platform at least 30 days before they take effect. Changes apply from your next renewal after the notice period. If you do not agree, cancel before then. Continuing to use the Services after a change takes effect means you accept it.

21. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario, sitting in Ottawa, have exclusive jurisdiction, and each party submits to them. Before starting proceedings, a party will first try in good faith to resolve the dispute by written notice and discussion for 30 days.

22. Trade controls

You will not use or export the Services in breach of Canadian, US or other applicable sanctions or export laws, or allow anyone on a government restricted-party list to use them.

23. General

  • Entire agreement. These Terms, the Pricing page and our Privacy Policy are the whole agreement between us about the Services. If they conflict, these Terms prevail.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or a successor to our business with notice to you.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
  • Notices. We send notices to the account owner’s email address. You send notices to inquiry@datalug.io.
  • Relationship. The parties are independent contractors.
  • Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver.
  • Language. The parties have required that these Terms and related documents be drawn up in English.

24. Referral program

If we run a referral program, you can earn points when a team you refer starts on DataLug and redeem those points as credit on your own monthly invoices. The program works as follows.

  • Earning. You earn 50 points when a referred team starts a free trial, 80 points when they pay their first month on Professional, and 150 points when they pay their first month on Teams.
  • Posting. Trial points post after the referred team verifies their email and stays active for seven days. First-month points post after their first successful monthly payment. Every payout is reviewed before it is applied.
  • Redemption. Fifty points equal one US dollar of credit. Points apply to monthly plan invoices only, not to annual plans, and you can redeem up to 20 percent of any single monthly invoice.
  • Limits. Points have no cash value, cannot be transferred or exchanged for cash, and are forfeited if your account closes. Points expire twelve months after you earn them.
  • Changes and abuse. We may change the earning rates, caps or redemption, or suspend or end the program, at any time. Points already approved and applied to an invoice are not affected. We may withhold or reverse points for referrals we reasonably believe are fraudulent, self-referrals or otherwise abusive.
